A couple of years ago I setup my GMBH company in Zug and pay an annual fee for a virtual office. They strip out all the junk and begging letters and send us on everything else. So far so good until today we translated a letter from Kanton Zug telling us that they made a visit to our registered business address aka virtual office and were not happy that no one was there who dealt with the administration of the company.
Ignorance abound I believed this was just the registered address of the office and did not actually have to be there or even have the paperwork there. Obviously we paid Launch Swiss for setting up the domicile of the office for Zug and managing the paperwork.
We have fired off some emails to Launch Swiss plus one telephone call so far but they are not exactly as fired up as we are. Kanton Zug has given us until 6th Feb to sort this out...!
Anyone tell me the legal position of this or am I screwed and going to have to pay truck loads to a notorary?
The letter refers to Anwendung Von Art 153 der Handelsregisterverodnung (HRegV) ... innert 30 Tagen
Using a notary I can change the registered address from Zug to Geneva. Also Kanton Zug have always known where I have lived as it was on the original documents filed with them, including details of those employed by the compnay etc. Currently I pay company taxes in Zug and personal taxes in Geneva, nothing wrong or unusal about that according to the accountant. The point the letter from Kanton Zug are trying to make is that they expect someone to be at the registered office. Which if correct means there must be a whole bunch of other businesses affected at a guess. The accountant made a point that if they have changed the legislation in Zug that makes this a problem then Launch Swiss has pretty much no business anymore, well certainly not in the virtual office business.
Not quite the words I thought but not far off. I got some forms through from Launch Swiss to sign and send back to the Kantonal office which seems a formality in just confirming it is a virtual office. Wait and see what happens I guess, in the meantime I will work on alternative plans just in case.
Will report back what happens as it maybe of interest to others. I am hoping this is just a piece of paperwork that should of been filed that wasn't.
